Terms of Service

The terms on which Steff Cloud Limited provides its services. Plain language, because terms you cannot understand are not terms you agreed to.

Who these terms are between

These terms apply between Steff Cloud Limited (registration PVT-RQ13VMZZ, KRA PIN P052542988U), of Nakuru, Kenya, and you — whether you are browsing this site or engaging us for work.

Where we sign a separate written Service Agreement for a project, that agreement takes precedence over these terms wherever the two differ.

Quotes and scope

Quotes are valid for 30 days and are based on the scope described at the time. If what you need changes materially once work has started, we will tell you before doing the extra work and agree the revised cost with you in writing first. We do not issue surprise invoices.

Prices shown on this site are starting prices in Kenyan Shillings. Your final quote depends on scope.

Payment

  • Projects normally begin on a deposit, with the balance due on delivery. Your quote states the exact split.
  • Retainers are billed monthly in advance.
  • We accept M-Pesa and bank transfer.
  • Invoices are due within 14 days unless stated otherwise.
  • We may pause work on materially overdue accounts. We will always warn you before we do, never without notice.

What we need from you

Most delays are content delays. To hit agreed timelines we need materials, feedback and approvals within the windows set out in your project plan. Where a delay is caused by waiting on you, timelines shift by a matching amount.

You confirm that any text, images, logos or data you give us are yours to use, or that you hold the necessary licence.

Ownership of what we build

On full payment, ownership of the final deliverables produced specifically for you — website, designs, custom code, brand assets — transfers to you. You own your work. That is deliberate: systems you cannot take with you are not systems you own.

We keep ownership of our own pre-existing tools, libraries and internal frameworks used to build it, and grant you a perpetual licence to use them as part of your deliverable. Third-party components stay under their own licences.

Unless you ask us not to, we may show the work in our portfolio and add a discreet “Website by Steff Cloud” credit in the footer of sites we build. Tell us and we will remove it.

Revisions, support and hosting

Each project includes the revision rounds stated in its quote. Further rounds are billed at our standard rate.

After launch we include a defect-fix window as stated in your quote: if something we built does not work as agreed, we fix it at no charge. New features, content changes and ongoing maintenance fall under a retainer or a new quote.

Domains, hosting and third-party services are billed at cost and renew annually. Keeping them paid is your responsibility once transferred to your accounts.

Cancellation

You may cancel a project at any time in writing. You are charged for work completed up to that point; deposits cover work already performed and are non-refundable to that extent. Any balance is refunded.

Retainers may be cancelled with 30 days’ written notice on either side.

Liability

We do everything reasonable to deliver work that is correct, secure and on time. But we cannot guarantee specific commercial outcomes — search rankings, sales volumes or follower counts depend on factors outside our control, and anyone promising you otherwise is selling something.

To the extent permitted by Kenyan law, our total liability arising out of a project is limited to the fees you paid us for that project. We are not liable for indirect or consequential loss, including lost profits or lost data, except where caused by our gross negligence or wilful misconduct. Nothing here limits liability that cannot be limited by law.

Confidentiality

We treat your business information as confidential and will not disclose it except as needed to deliver the work or where the law requires. We expect the same of you regarding our proposals, pricing structure and methods.

Governing law

These terms are governed by the laws of Kenya, and the courts of Kenya have exclusive jurisdiction. We would much rather resolve any disagreement by talking first — contact info@steffcloud.co.ke and we will engage in good faith.
